HABORA Platform Terms of Use

Rules for accessing and using the HABORA platform, contracting, users, AI, responsibilities and electronic acceptance.

1. Purpose

These Terms of Use govern access to and use of HABORA, a SaaS platform for managing real estate assets, contracts, documents, financial information, ESG indicators, alerts, reports, users, permissions, integrations and artificial intelligence features. By creating an account, subscribing to a plan, using a promotional code, accepting an invitation or accessing the platform, the user declares that they have read, understood and accepted these Terms and the applicable supplementary documents.

2. Key definitions

For these Terms, HABORA means the digital platform and its modules; Customer means the legal entity or organization that contracts, trials or uses the platform; Account or Company means the organizational environment created for the Customer; Owner is the primary party responsible for the account; Admin is the user with administrative powers; User is any person authorized to access the platform; Customer Data means the information, documents, records and content entered into or generated through the use of HABORA.

3. Access conditions

Access to HABORA's internal area depends on an Account enabled by an active paid plan, trial, pilot, promotional code, courtesy access or an invitation linked to an active company. Invited users do not need to choose a plan or register a payment method; their access depends on the contracting company and the permissions granted by the Owner or Admin.

4. Registration and responsibility

The user declares that the information provided is true, complete and up to date, and that they have the powers or authorization to represent the company indicated. The Customer is responsible for its users, documents, data, permissions, groups, properties and information entered into the platform.

5. Plans and payments

Use of HABORA may be subject to plans with limits on properties, users, modules, storage, AI, reports, integrations and support. Billing may occur by card, PIX, bank slip (boleto), transfer, corporate invoicing or another approved method. HABORA may use third-party payment providers and shall not store full card numbers or CVV in its own database.

6. Users, groups and permissions

Internal authorization must consider user_id, company_id, group_id, property_id, module and permitted action. Email may be used for invitations, login and communication, but must not be the primary authorization key. In the absence of an express permission, access shall be denied by default.

7. Customer documents and data

The Customer is responsible for the legality, legitimacy, accuracy and authorization to use the documents, contracts, certificates, spreadsheets, images, records, personal data and information entered into HABORA. The platform is a support tool and does not replace specialized professional review.

8. Artificial intelligence

AI features may assist with reading, extracting, organizing, classifying, summarizing, comparing and generating insights. Results are supporting aids and may contain errors, omissions or incomplete interpretations. The user must review the information before making legal, financial, technical, regulatory or operational decisions.

9. Alerts and communications

HABORA may send alerts about due dates, adjustments, pending items, obligations, delinquency, documents, security, billing and operational updates. Alerts are supporting mechanisms and do not replace the Customer's responsibility to monitor its own obligations.

10. Prohibited use

It is prohibited to use HABORA for unlawful acts, infringement of rights, unauthorized uploads, fraud, attempts at improper access, reverse engineering, exploitation of vulnerabilities, credential sharing, insertion of malware or any conduct that compromises the platform, customers, users or third parties.

11. Intellectual property

HABORA's brand, technology, code, interface, workflows, documentation, structure, design and know-how belong to HABORA or its licensors. The Customer retains rights over the data and documents it enters, authorizing their processing to the extent necessary to provide the services.

12. Privacy and security

The processing of personal data shall comply with the Privacy Policy, the Data Processing Policy and applicable law. HABORA may adopt authentication, access control, per-company segregation, logs, backup, encryption and administrative and technical measures appropriate to the nature of the platform.

13. Suspension and termination

HABORA may restrict, suspend or terminate access in the event of delinquency, breach of the Terms, security risk, fraud, legal order, abuse, expiration of the trial, expiration of a promotional code or cancellation of the account. Data retention shall follow its own policy.

14. Limitation of liability

HABORA is not liable for decisions made by the Customer based on incomplete data, unreviewed information, unmonitored alerts, documents entered incorrectly, permissions improperly granted by the Admin, third-party services or unvalidated AI results.

15. Governing law and jurisdiction

These Terms are governed by the laws of the Federative Republic of Brazil. The courts of the Judicial District of São Paulo, State of São Paulo, are elected, except where a mandatory legal provision states otherwise or a specific agreement contains its own clause.

16. Updates and contact

This policy may be revised to reflect legal, regulatory, technical, commercial or operational changes. The current version will remain available in the HABORA Compliance area. Material changes may require new acceptance by users, where applicable. Questions, legal requests, privacy requests, formal communications and requests related to this policy should be sent to juridico@haborahub.com.br.

17. Electronic acceptance

Acceptance will be recorded electronically with the document version, date, time, user, company, source, IP and user-agent where available. The absence of acceptance of mandatory documents may prevent access to the system.
